Retails Direct Terms and Conditions
Introduction :

Following terms and conditions govern your use of the website www.retailsdirect.com (hereinafter referred to as "the Site") and constitute your binding obligations towards Retails Direct Marketing Pvt Ltd (hereinafter referred to as Retails Direct) ("User Agreement "). You irrevocably agree to be bound by the following terms & conditions by accessing the website. If you do not agree to be bound by these terms & conditions kindly do not access the website.

1. RETAILS DIRECT may amend the User Agreement at any time by posting the amended terms on the Site. All amended terms shall automatically become effective immediately after they are posted on the site and any subsequent use of the site shall be governed by such amended terms. You are advised to regularly check the site for any amendments or updates to the terms and conditions contained in this User Agreement. Failure on our part to notify you will not relieve you of the obligations under amended terms and conditions.

2. In addition, when you use any current or future service of RETAILS DIRECT provided through this site you will also be subject to the guidelines and conditions applicable to such service.

3. If any clause of the User Agreement shall be deemed invalid, void or for any reason unenforceable, such clause shall be deemed severable and shall not affect the validity and enforceability of the remaining clauses of the User Agreement.

4. You must read, agree with and accept all of the terms and conditions contained in this User Agreement and RETAILS DIRECT’s Privacy Policy, which include those terms and conditions expressly set out below and those incorporated by reference, before you may become a member of RETAILS DIRECT. We strongly recommend that, as you read this User Agreement, you also access and read the information contained in the other pages and websites referred to in this document, as they may contain further terms and conditions that apply to you as a RETAILS DIRECT user.

5. This Agreement is effective only upon due agreement / acceptance by You through the “I Accept” button.

Consumer Terms of Sale
PLEASE READ THESE TERMS OF SALE CAREFULLY BEFORE PLACING YOUR ORDER AND RETAIN A COPY OF THESE TERMS AND YOUR ORDER FORM FOR FUTURE REFERENCE.

Format of the Contract:

1. These terms of sale apply to all goods and services supplied to you by Retails Direct Marketing Pvt Ltd through its site and otherwise.

2. Any order placed by you for goods advertised on our site is an offer by you to purchase the goods selected in your order. No contract exists between you and us for the sale of any goods until we have received your order and accepted it (which we may do at our discretion).

3. Once you complete your order on the site, you will receive an order acknowledgement mail from Retails Direct and there after we will verify your details and subject to availability of the goods ordered and other events on which Retails Direct has no direct control, you will receive an order acceptance mail.

If we cannot accept your order, due to a pricing error or unavailability of ordered goods, we will notify you by telephone or email.

4. We have the right to cancel the order/terminate the contract if the price of the goods is not received from you in cleared funds.

5. RETAILS DIRECT may change these terms of sale without notice to you in relation to future sales.

You will have to follow the instructions while completing the order on the site.

Description, availability and Pricing:

1. The description and price of the goods you order will be as shown on the site at the time you place your order. We make every effort to ensure that prices shown on our site are accurate at the time you place your order.

2. Prior to delivery of goods, if we discover that the goods ordered are unavailable; we may terminate the contract and offer you replacement of goods or refund the sum that you paid. In these circumstances, we will inform you as soon as possible.

3. Prior to delivery of goods, if we discover that some of the goods are unavailable, we will no longer supply those unavailable goods. In these circumstances, we will contact you detailing the unavailable goods.

We may offer that you:

   a. place a new amended order for non-available goods;
   b. accept the available goods and cancel the order for unavailable goods, for which the refund would be given to you.
   c. cancel your whole order and take refund;

If you have not cancelled the order within 7 days of intimation by us, we will deliver the available goods to you and refund the amount for the unavailable goods after deducting the processing charges.

4. Prior to delivery of goods, if we discover that any goods that you have ordered is mis-priced, we will notify you as soon as possible detailing the mis-priced goods and offering you the option of:

   a. placing a new order at the correct price for those goods;
   b. cancelling the whole of your order; or
   c. cancelling your order for the mis-priced goods and reconfirming your order for the correctly priced goods. In case of clause b above, the payment will be refunded to you after deduction of processing charges.

If, within 7 days of our intimation to you, you have not responded by selecting one of the available options at conditions 4 above then:

   a. if all of the goods you have ordered are found to be mis-priced, the entire order will be cancelled automatically and we will refund or re-credit you for any sum you have paid for those goods; or
   b. if only some of the goods you have ordered are found to be mis-priced, our contract with you continues and we will deliver the correctly priced goods but we will not be obliged to supply you with the mis-priced goods. In these circumstances we will refund or re-credit you for any sum you have paid for the mis-priced goods.

5. To avoid any doubt, where goods are unavailable and you order alternative goods from us, or where goods have been mis-priced and you subsequently order such goods at the correct price, these terms of sale shall apply to the order and the supply of the relevant goods.

6. In addition to the price, you will be required to pay delivery charges, relevant taxes, etc for the goods, details of which will be clearly displayed on the site at the point of your placing the order.

Payment
1. You can pay for the goods and delivery charges by Credit Card and Debit Card and Net Banking Facility of your bank.. Payment shall be due before the delivery date and time for payment shall be a fundamental term of this agreement, breach of which shall entitle RETAILS DIRECT to terminate the contract immediately. It is once again reiterated that the acceptance of payment for the goods should not be considered by you as acceptance of order by the Retails Direct.

2. There will be no delivery until we receive the cleared funds in our accounts.

3. The payment from your card will be debited from your account before the dispatch of your goods. All credit/debit card holders are subject to validation checks including address verifications and authorisations by the card issuer. If the issuer of your card refuses to authorise payment to us, we will not be liable for any delay or non-delivery. By ordering from us, you agree that we are authorised to charge your credit or debit card with the amount you owe us under this agreement.

Pay by Sodexho
You can pay for the ordered goods by Sodexho gift vouchers. The payment by Sodexho is subject to following terms and conditions:

1. We accept only ‘Gift Voucher Gold/Gift Passes’ (hereafter “Gold Voucher/Gift Passes”) issued by Sodexho Pass Services India Pvt. Ltd. (hereafter “Sodexho”) to you. Please note that we do not accept any other form of Gift voucher (Exclusive or Advantage or Meals coupon issued by Sodexho).

2. The payment by Gold Voucher/Gift Passes is subject to its validity and the realisation of the payment by us from Sodexho.

3. We will not provide any refund or any change or encash the Gold Voucher/Gift Passes. Therefore, please ensure that you choose a product having an equal/ higher value than the voucher and pay the outstanding price balance by other modes of payment shown on the website.

4. You agree and understand that if you choose to make the payment solely through Sodexho Gift Passes/ Gold Voucher, you shall also be liable to pay 5% on the total value of the product (offer price plus logistic cost) as Sodexho convenience charges. In case you choose to pay part of the total cost of the product by Sodexho voucher and part by any other mode of payment, then you shall be liable to pay 5% convenience charges on the amount paid through Sodexho voucher only.

5. How to pay and delivery:

a. You are required to select the option to pay by the Sodexho “Gift Voucher Gold/Gift Passes”. You are required to provide the details of the Gold Voucher/Gift Passes in the online order form and at the time of verification call.

b. You will post the Gold Voucher/Gift Passes at the address mentioned in the contact list/Order Form, clearly mentioning your Order ID on a separate sheet. Once we receive the Gold Voucher/Gift Passes we will verify its authenticity.

c. Once verified, we will confirm the acceptance of Gold Voucher/Gift Passes and forward it to Sodexho for its realisation. Upon failure of verification, we will return the Gold Voucher/Gift Passes to you without incurring any liability. You agree that it is entirely your responsibility to verify the details of the Gold Voucher/Gift Passes before sending it to us. You further understand and agree that we will not be liable for any delay in receipt of the Gold Vouchers by us due to the fault of Postal services and any loss to you arising thereof. In an event of failed verification and delay in receipt resulting in invalidity of Gold Voucher/Gift Passes, the contract between us will automatically stand cancelled without any liability to either party.

d. The verification of Gold Voucher/Gift Passes may take 7 (Seven) working days from its receipt by us, as the processing by Sodexho takes time. Please ensure that you place your order well ahead in advance.

e. We will deliver the products only after we verify the Gold Voucher/ Gift Passes validity and authenticity from Sodexho. You understand and agree that the normal expected delivery period of 10 days applies once this verification process is complete.

f. You will be liable to pay the charges in cash or through credit card where Gold voucher/ Gift Passes sent by you cannot be verified.

6. You agree to indemnify and hold harmless Retails Direct Mktg Pvt Ltd, its directors, Employees, partners, Affiliates, from any loss of business or profits on account of any claim made against us by Sodexho or third party, where such claim arises out of the fault/ fraud on your part.

7. Cancellation:

a. Standard cancellation Policy as outlined in the sale agreement does not apply where you elect to cancel the orders placed by you where your payment either in part or full is being made by Gold Voucher/ Gift Passes;

b. If the delivered good(s) is/ are damaged in transit, is/ are faulty, is/ are not as per order or description, is/ are mis-priced, is not available, (Where it is RD’s fault) our maximum liability is limited to replace the goods ordered with a new one. We may in our discretion elect to offer you a product of equal/higher value.

c. Due to the policy of Sodexho, we will not be able to offer any cash in return or return the Gold Voucher/ Gift Passes, once we send the Gold Voucher/ Gift Passes to Sodexho for redemption. Your right of cancellation accordingly stands modified. Any claim for a refund will only lie against Sodexho. Our maximum liability is to offer a replacement or refer your case to Sodexho for resolution.

4. Net Banking: At present you can make payment through your Net Banking facility with ICICI Bank. Please contact the Customer support team to enquire whether we take payments through your Bank’s Net Banking services.

In order to process you payment, you are also required to sign the Proof of Delivery (POD), and put a suitable remark, showing successful delivery of the product to your satisfaction. Your Credit/ Debit Card details must match with the actual Card details as provided to you by the Card Issuer (Banks/ Financial Institutions).

For the purposes of this clause, the ownership in the products delivered to you is not transferred until the payment is realized by Retails Direct from your card issuing bank. Any contract in relation to the products ordered by you is between Retails Direct and You.

Delivery
1. RETAILS DIRECT will deliver your ordered goods only within the Indian Territory.

2. Orders placed before 5.00 pm on a working day will be processed that day and may be delivered within 10 working days provided no additional securities checks are required and stock items are available. (A working day is any day other than weekends and public holidays.)

3. If delivery cannot be made to your address for reasons under the RETAILS DIRECT´s control RETAILS DIRECT will inform you as soon as possible and will try to make one more attempt to deliver the goods to you, if requested by you. RETAILS DIRECT will not be under an obligation to deliver the goods ordered and may in its sole discretion refuse to deliver the goods. In such event, RETAILS DIRECT will refund the payment made by you after deducting the direct costs and any sum that RETAILS DIRECT may incur in relation to making an attempt to deliver the goods.

4. If you deliberately fail to take delivery of the goods (otherwise than by reason of circumstances under control of the RETAILS DIRECT) then without prejudice to any other right or remedy available to the RETAILS DIRECT, RETAILS DIRECT may store the goods until actual delivery and charge you for reasonable costs (including insurance) of storage; or

5. Every effort will be made to deliver the goods as soon as possible after your order has been accepted. However, Retails Direct will not be responsible for any loss or damage suffered by you through reasonable or unavoidable delay in delivery. In this case, the Retails Direct will inform you of any delay as soon as possible and will give you the option of canceling your order at this point.

6. Upon receipt of your goods, you will be asked to sign for the goods received in good condition on POD supplied by the delivery agent.

If the package does not appear to be in good condition or you discover that the goods were damaged in transit, then please refuse the delivery and put a suitable remark on the POD. Retails direct may offer you replacement for such goods damaged in transit. In the event, the goods returned back are found to be in good condition, then you will not be offered any replacement and your amount will be refunded after deduction of processing charges and other direct costs involved in the entire process.

7. You must be personally available to accept the delivery of the goods and sign acknowledgement of delivery/ POD. You must also mention the registration/serial number on the POD of the same Photo ID document, the details of which was provided by you at the time of placing the order on the site). If the package appears damaged when it is delivered to you we advise you not to accept the delivery and inform us immediately at our customer service number 0120-4216964 and also refuse the delivery and put a suitable remark on the POD.

8. In case you are not personally available to accept the goods, you must authorise the person who will be accepting the goods on your behalf and you must also give a signed copy of the identification document as detailed above to the authorised person to handover the same to the delivery boy.

Risk/Title
1. The goods are at your risk once you accept the delivered goods.

2. Ownership of the goods shall not pass to you until RETAILS DIRECT has received in full (cleared funds) all sums due to it in respect of:

   the goods, and
   all other sums which are or which become due to RETAILS DIRECT from you on any account

3. RETAILS DIRECT shall be entitled to recover payment for the goods even though ownership of any of the goods has not passed from RETAILS DIRECT.

Your right of cancellation
1. Subject to clause 6 mentioned below, you have a right to cancel the contract on payment of deductions as per the following table:

2. To cancel, you must give information to RETAILS DIRECT through phone, email or through post giving details of the goods ordered and (where appropriate) their delivery. Notification by phone is not sufficient notice to cancel.

3. If the goods are found faulty, defective or mis-described, after you accept the delivery, your sole remedy will lie against the manufacturer, subject to the warranty clause.

4. Subject to any deductions under clause 1 mentioned above, once you have notified RETAILS DIRECT that you are cancelling the contract, RETAILS DIRECT will refund or re-credit you any sum that has been paid by you for the goods.

5. Subject to any deductions under clause 1 mentioned above, Retails Direct may assist you in putting your claim against the manufacturer, where damages to the goods delivered, are of such nature which could not have been detected physically at the time of delivery and such damages are also covered under the warranty clause of the manufacturer. Retails Direct’s Liability in such cases would only be to provide assistance to you to claim your replacement or refund.

Retails Direct will not be liable to repay any amount paid by you. However, in such cases, you will have to provide all necessary information to Retails Direct. You may call the Retails Direct’s Help Line Number 0120-4216964, and our customer support executive will provide you with the necessary information regarding the manufacturer’s authorised service centers or dealers.

6. You do not have the right to cancel the contract if the order is for computer software or goods requiring software, which has been unsealed or used by you, or for consumable goods, which by their nature, cannot be returned.

Manufacturer’s Warranty
All goods you order through RETAILS DIRECT’s website www.retailsdirect.com are (covered under Manufacturer’s Warranty where applicable) warranted free from defects as per the Manufacturer’s Warranty Clause for a particular good. This warranty may vary manufacturer to manufacturer.

Returns Procedure
1. Once you accept the delivery of the goods, Retails Direct will not accept any returns. Your sole remedy would be against the manufacturers for any replacement or refund.

2. You are required to contact the Manufacturers for any replacement or refund. Retails Direct may provide you with the contact information of the manufacturer’s nearest service center, if available with Retails Direct. Any return of goods must be made to these authorised Service Centers or as advised by the manufacturer.

Accounts and Registration
You are responsible for maintaining the confidentiality of your account and Password, and you agree to accept responsibility for all activities that occur under your account or Password. You are advised to change the password on receipt of user name and password from Retails Direct.

You agree to:
1. Provide true, accurate, current and complete information about yourself as prompted by RETAILS DIRECT's user/ registration form (such information being the "Registration Data").

2. Maintain and promptly update the Registration Data to keep it true, accurate, current and complete.

3. Grant to RETAILS DIRECT a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) right to exercise the copyright, publicity, and database rights in your information (including “Registration Data”) or in any reviews, comments, feedback, suggestions, ideas, and other submissions disclosed, submitted or offered to RETAILS DIRECT on or by this Site www.retailsdirect.com (collectively, the "COMMENTS") that you may submit on the website to RETAILS DIRECT.

Membership
Persons who can form legally binding contracts under and are "competent to contract" within the meaning of the Indian Contract Act, 1872, are only allowed to use the site. If you are a minor (under the age of 18 years), you cannot register as a member of the Site and cannot purchase any items on the Site. In such cases, your legal guardian or parents, who have registered as users of the Site, may make any purchase of goods shown on the Site. RETAILS DIRECT reserves the right to terminate your membership and refuse to provide you with access to the Site if it discovers that you are under the age of 18 years.

Use of the site
You agree, undertake and confirm that your use of the Site shall be strictly governed by the following binding principles:

1. Any information ("Your Information") you provide to us in the registration/order form, buying or verification process, in the feedback area or through any e-mail is your sole responsibility, and we act as a passive conduit for your online distribution and publication of Your Information.

2. Your Information shall not (or any items listed):
   a: be false, inaccurate, fraudulent, defamatory, libellous, threatening, harassing or misleading;
   b: infringe any third party's intellectual property, trade secret, other proprietary, publicity or privacy rights;

4. RETAILS DIRECT has the right to indefinitely suspend or terminate your membership without notice and refuse to you access to the Site if you provide or RETAILS DIRECT reasonably suspect that you have provided any information that is untrue, inaccurate, not current or incomplete.

Third Party Products
PLEASE NOTE: Along with the other terms and conditions, additional terms are applicable as you buy products sold on www.retailsdirect.com manufactured by third parties.

RETAILS DIRECT is not responsible for any non-performance or breach of any contract entered into between you and the Manufacturer. RETAILS DIRECT cannot and does not guarantee that the Manufacturers will perform any promises made to you.

Third Party Sites / Links
Any access to a third party website, referred in or linked to our Website, is at your own risk. You must take all protective measures to guard against viruses or other destructive elements. We always recommend that you read the privacy statement and/or terms and conditions of use of the third party website whenever interacting with any such third party website. RETAILS DIRECT will not be responsible for any loss that you may suffer due to your use.

Electronic Communication
You consent to receive electronic communications from us, our group companies and business associates and partners in the form of email or by notices posted on the Site. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

Disclaimer & Warranties
The Site and the services offered through this site are provided without any warranties or guarantees and in an “As Is” condition. You must bear the risks associated with the use of the Site.

RETAILS DIRECT its associates and technology partners make no representations or warranties about the accuracy, reliability, completeness, correctness and/or timeliness of any content, information, software, text, graphics, links or communications provided on or through the use of the Site or that the operation of the Site will be error free and/or uninterrupted. Consequently,

RETAILS DIRECT will not be responsible for any errors or omissions or for any results obtained from the use of content from other Internet sites or resources or for any technical problems you may experience with the third party website.

Any agreement resulting from placing an order, successful delivery is a legally binding contract between you and Retails Direct. Retails Direct disclaims all liability to you arising out of or in relation to such contract, where Retails Direct fails to receive any payment made by you from Banks, particularly in cases of payment by Credit/ Debit Card/ Cheque (at Par/ Banker’s) or Demand Draft. Retails Direct reserves the right to recover any sum owed from you or to recover the delivered products, on account of failure to realize the payment, even after the product has been delivered to you.

To the fullest extent permitted under applicable law, RETAILS DIRECT or its suppliers shall not be liable for any indirect, incidental, special, incidental, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses arising out of or in connection with the Site, its services or this User Agreement. Any typographical, clerical or other error or omission in website is subject to correction without any liability on our part.

Review, Feedback & submission
All reviews, comments, feedback, suggestions, ideas, and other submissions disclosed, submitted or offered to RETAILS DIRECT on or by this Site www.retailsdirect.com (collectively, the "COMMENTS") shall remain RETAILS DIRECT’s property. RETAILS DIRECT is and shall be under no obligation (1) to maintain any Comments in confidence; (2) to pay you any compensation for any Comments; or (3) to respond to any Comments.

You warrant that you hold or have taken permission from the respective owners all the necessary copyright, proprietary rights, distribution rights, or any other right in relation to your Information, your Registration Data, or your Comments or any other submission made, disclosed, submitted or offered by you to Retails Direct through this website or through any other medium.

Access to this Site does not confer and shall not be considered as conferring upon anyone any license under any of RETAILS DIRECT or any third party's intellectual property rights.

All intellectual property rights, including copyright, trademark or other proprietary rights in this website are owned by or licensed to RETAILS DIRECT. Any use of this website or its contents, including copying or storing it or them in whole or part, other than for your own personal, non-commercial use is prohibited without the permission of RETAILS DIRECT. You may not modify, distribute or re-post anything on this website for any purpose.

Indemnity
You (the “Indemnifying Party”) agree to defend, indemnify and hold harmless RETAILS DIRECT and its affiliates, directors, officers, employees, and agents (the “Indemnified Party”) from and against any claim, suit, demand, loss, damage, expense (including reasonable Lawyers' fees and costs) or liability that arise out of or relate to your use/misuse of the services of the website including but not limited to:

a: any breaches of express representations, warranties or covenants in relation to the non-fulfilment of any of your obligations under this User Agreement;
b: any claim against the Indemnified Party by a third party with a contractual relationship or in privity with the Indemnifying Party; and
c: arising out of the your violation of any applicable laws, regulations including but not limited to Intellectual Property Rights, payment of statutory dues and taxes, claim of libel, defamation, violation of rights of privacy or publicity, loss of service by other subscribers and infringement of intellectual property or other rights.

d. any representation made by you or any obligation that you may have under these terms in relation to your Information, your Registration Data, or your Comments or any other submission made, disclosed, submitted or offered by you to Retails Direct through this website or through any other medium.

Failure on the part of RETAILS DIRECT to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches. This clause shall survive the expiry or termination of this User Agreement.

Termination of agreement
You may terminate this User Agreement, if you discontinue further use of this Site. RETAILS DIRECT may terminate this User Agreement at any time without notice, and deny you access to the Site. Such termination will be without any liability to RETAILS DIRECT. Any such termination of the User Agreement shall not cancel your obligation to pay for the product already ordered from the Site or affect any liability that may have already arisen under the User Agreement.

Entire Agreement
If any term or provision of this Agreement is determined to be illegal, unenforceable, or invalid in whole or in part for any reason, such illegal, unenforceable, or invalid provisions or part(s) thereof shall be stricken from this Agreement and such provision shall not affect the legality, enforceability, or validity of the remainder of this Agreement. If any provision or part thereof of this Agreement is stricken in accordance with the provisions of this section, then the stricken provision shall be replaced, to the extent possible, with a legal, enforceable, and valid provision that is as similar in tenor to the stricken provision as is legally possible.

RD Coins Terms and Conditions

RD Coins Redemption Program
In addition to the Website Terms and Conditions at (http://www.retailsdirect.com/TermsandConditions.aspx) the following terms apply to the RD Coins Redemption Program. The RD Coins Redemption Program will continue to be effective until such date as may be determined by Retails Direct Marketing Pvt. Ltd. (the company) at its sole discretion. The company reserves the sole right to exclude or add any products offered for redemption of the points, on the company's website - www.retailsdirect.com (hereinafter “Website”).

Definitions
In these terms and condition unless the context requires otherwise:

Activity means an activity undertaken by a member which earns them RD coins of certain value for a particular activity, as shown in the table below.

Content includes all website content, product information, product images, pricing, blogs, reviews, post and other submissions by you on the Retails Direct Website -

Intellectual Property Rights means all intellectual property rights, including all trademarks, copyrights, designs, presentations, etc., belonging to Retails Direct Marketing Pvt. Ltd. or belonging to the company's partners.

RD Coins means a non-monetary point system being offered to a registered user of the website for the activities undertaken by him/her at the Website as per these terms and conditions, which lets the user earn the RD Coins which they can redeem as per these terms and conditions.

Moderator means an authorised representative of the company, who will decide upon the quality of user submitted content for the purpose of uploading the content on the Website. The moderator will verify the content, quality and other activities undertaken by the user at the website before allocating the RD Coins to the user for selected activities.

Redemption catalogue means a catalogue featuring products available for partial or full redemption through RD Coins at the website, www.retailsdirect.com.

Referral means an activity where a registered user of the Website, recommends another user to join the website, and the recommended user registers at the Website.

Member means a registered user of the website.

Earning RD Coins
Retails Direct brings to the members a reward system not only for making purchases through the website but also for registering with the website, for writing product reviews, and for many other activities as detailed below.

The RD coins that you may earn against an activity can change at any time at the sole discretion of the moderator. You are advised to periodically review these terms for the updated information.

Registration on the Website
On registering with the website a member will earn 100 RD Coins. For this activity, the RD Coins will be credited only once to your account.

Referral Registration
For every member referral who subsequently becomes a registered user at the website, the member will earn 50 RD Coins. A member can refer any number of individuals. The coins will be credited into the member's account as and when the referrals register with the website. In the event of an individual receiving more than one invites, the person whose invitation was accepted first by the individual will get the Referral Points.

Completing Member Profile
For completing the member profile on the website a member will earn 100 RD Coins. A profile will be considered complete if more than 50% of the fields in the profile section have been filled in by the member. For this activity, the RD Coins will be credited only once to the member's account.

Uploading Profile Photo
On uploading a Profile Photo in the member's profile section on the Website, a member will earn 50 RD Coins. For this activity, the RD Coins will be credited only once to the member's account. The moderator reserves the right to debit/ cancel the credited RD Coins from the member's account, if the uploaded photo is obscene, indecent and/or barred under any law or the member is not the owner of that photo or doesn't have the permission/license from the copyright owner of the photo or the photo is found to be belonging to another person.

Writing a Product Review
For every product review written and uploaded by a member on the website, the member will earn 20 RD Coins. The RD Coins will be credited to the member's account upon submission of the review, however, the moderator reserves the right to debit/ cancel the credited RD Coins if the product review is inappropriate or irrelevant in context of the activities carried on at the website or is not approved by the Moderator. The Moderator's decision in this regard will be final and binding upon the member.

Creating a Blog
A member can create any number of blogs on the website but will earn RD coins only on the creation of his/her first two blogs. For the first two blogs, the member will earn 100 RD Coins each. Subsequent blog creations will not enable the member to earn any RD coins.

RD Coins will be credited to the member's account upon creation of the blog, however, the moderator reserves the right to debit/ cancel the credited RD Coins from the member's account if the Blog created is inappropriate or irrelevant in context of the activities being carried out at the website. The Moderator's decision in this regard will be final & binding upon the member.

Posts in one's Blog
Each time content is posted in the member's blog, the member will earn 20 RD Coins subject to a maximum of 10 approved blog posts in a calendar month. RD Coins will be credited to the member's account upon uploading the post, however, the moderator reserves the right to debit/ cancel the credited RD Coins from the member's account if the blog post is not approved by the moderator. The Moderator's decision in this regard will be final and binding upon the member.

Video Review of a product
For every video review (of a product available on the website) uploaded by a member on the website, the member will earn 100 RD Coins. RD Coins will be credited to the member's account upon submission of the video review, however, the moderator reserves the right to debit/ cancel the credited RD Coins from the member's account if the uploaded video review is inappropriate or indecent or irrelevant in context of the activities being carried out at the website or barred under any law or the member is not the owner of the video or the member doesn’t have the permission/license from the copyright owner of the video. The moderator's decision in this regard will be final and binding upon the member.

Approved Thread Initiation in the forum
For every new thread created by a member in the forum on the website, the member will earn 50 RD coins. A member can create any number of threads in the forum but will be able to earn coins on a maximum of 4 approved threads in a calendar month. Coins will be credited to the member's account upon the creation of the thread, however, the moderator reserves the right to debit/ cancel the credited RD Coins from the member's account if the thread is inappropriate or indecent or irrelevant in context of the activities being carried out at the website. The moderator's decision in this regard will be final and binding upon the member.

Making a Purchase through the website
For product(s) purchased through the website a member will earn 10 RD Coins for every Rs. 100 worth of purchase. The RD coins will be credited to the member's account immediately once the purchase process is complete. These will, however, be debited if the order is subsequently canceled for any reason whatsoever.

Restriction of redemption of RD Coins
A member can redeem RD coins subject to following restrictions:
  • A member can fully or partially redeem the RD coins for the products listed in the redemption catalogue on the website. For the products available for partial redemption through RD Coins, the balance price must be paid by other modes of payment as indicated on the website.
  • The product(s) against which the RD coins have been redeemed will usually be shipped within 7 days from the date of redemption.
  • The RD coins earned by you is personal to your account and cannot be transferred or negotiated. In case your account is suspended or terminated for any reason, the RD Coins outstanding to your accounts credit will be forfeited;
  • The RD coins have no monetary value and cannot be exchanged for cash payment in any event. (Example: If you have paid for a product, part in Cash and Part through RD Coins, and if after making the payment you cancel the order, we may refund the payment subject to our cancellation policy, but no cash will be paid for RD coins in any event. RD reserves the right to re-credit the RD coins to your account in case of cancellation).
  • RD Coins can only be redeemed for a purchase made through the website (www.retailsdirect.com) . RD Coins cannot be used on any other website.
  • The company may change these terms at any time without notice.
  • RD Coins are available for redemption on selected products only. It is the member's responsibility to check whether RD coin's redemption is available on a particular product. The company is not liable for any mistake on the customer's part. The company reserves the sole right to offer the RD Coin Redemption program on selected products.
  • RD Coins redemption program is subject to the availability of products. In the event that a product becomes unavailable after a member has successfully submitted a redemption request, the company will offer to the member a product of similar nature with similar or higher price.
  • RD Coins once used for redemption cannot be canceled, changed or withdrawn.
  • Upon redemption, the spent RD coins will automatically get debited from the member's account.

INDEMNITY
The members agree to indemnify and keep indemnified the company, its directors, employees and partners from all claims, damages that the company may suffer due to the member's acts and omissions in relation to RD Coins Redemption Program and in relation to breach of any clause of these terms by a member, whether or not such breach by the member is intentional.

Disclaimer of Liability
THE COMPANY DISCLAIMS ALL LIABILITY IN RELATION TO THE RD COINS REDEMPTION PROGRAM, ITS FUNCTIONALITY, THE MEMBER'S USAGE, CREDITING, DEBITING OR REDEMPTION OF RD COINS BY THE COMPANY OR THE CONTINUATION OF RD COINS.

Termination of RD Coins Redemption Program
RD in its sole discretion may discontinue the RD Coins Redemption Program or terminate the agreement at any time. In such an event, any RD coins in a member's account will be forfeited and no compensation will be provided.

Group Bargains Terms and Conditions

Introduction
Retails Direct Marketing Pvt. Ltd., hereinafter referred as 'company' offers Group Bargain deals through its website www.retailsdirect.com (hereinafter 'site').

In addition to the principal Terms & Conditions of this site, the following terms and conditions apply to the Group Bargain section of the site – where in Retails Direct offers Bargain Deals through its site.

Bargain Listing
The company will offer select products in the Group Bargain section of the site. The bargain listing page will show the product being offered under the bargain, the duration for which the bargain offer will be live, the closing date of the bargain deal, the minimum number of people who must opt for the bargain to avail the maximum discount, the maximum level of discount being offered under the bargain, etc.

The bargain page gets updated in real time depending on the user participation. The updated page will show the current level of discount on the product and the current number of people who have opted for the bargain deal etc.

Members will be able to only join bargain groups which are active at that point of time.

If the required number of people join the deal by the deal closing date, each will get the product in question at the maximum discount indicated. If, however, the requirement of minimum number of people is not met, the deal will close on the discount rate which is applicable as per the current number of members who have joined that group bargain deal on the deal closing date. In this scenario, the member will get the discount on the deal as on the deal closing date and not the maximum discount as offered on the deal.

Example: Product A is under Group Bargain deal and is priced at Rs. 5,000. The total number of members required for this group to mature is 3 and on maturity a discount of 33% will be offered to each of the 3 members.

In the bargain details, the discount applicable against only one member remaining in the group or 2 members remaining in the group, at the end of the closing date of the group bargain, will also be mentioned.

Building on the above example, lets say the discount offered against 1 member is 11%, against 2 member is 22% and against 3 member is 33%. The corresponding discounted prices are thus Rs. 4,450, Rs. 3,900, and Rs. 3,350.

At the time of joining the group, the member(s) will be billed at the maximum discounted price. In the event that the deal closes at a lesser discount rate, the difference between the maximum discounted price and the applicable discounted price will be required to be paid by the member before the product can be delivered.

In the event that the group matures within the specified time frame, all the three members will be billed at Rs. 3,350 and they'll not have to pay any price difference.

In the event that there are 2 members in the group at the end of the specified time frame, the discounted price of Rs. 3,900 will apply. In this case both the members will have to pay a price difference of Rs. 550 (Rs. 3,900 – Rs. 3,350) before the product can be delivered.

In the event that there is only 1 member in the group at the end of the specified time frame, the discounted price of Rs. 4,450 will apply. In this case the member will have to pay a price difference of Rs. 1,100 (Rs. 4,450 – Rs. 3,350) before the product can be delivered.

Balance Payment:
If the deal closes at a lesser discount than the maximum discount being offered under the Group Bargain Deal, the member needs to pay the balance amount (as explained in the example) to the company before the product can be delivered.

Bargain Process
  1. The company will list the products available for the Group Bargain scheme under the Group Bargain section of the website.
  2. The member will initially pay the minimum price asked for the product, based on the maximum discount being offered under the Group Bargain deal. If the bargain deal does not close at the maximum discount on deal closing date, the member(s) need to pay the balance amount (as illustrated in the example) after the bargain deal closes and before the delivery of the ordered product.
  3. Once the company realises the payment from the member, the company will send an acknowledgement email to the member and list the member in the Group Bargain deal page. This email is only an acknowledgement of the receipt of the payment and is not an acceptance of the order.
  4. After the deal closing date, the company will send a confirmation email intimating the status of the bargain, the discount being offered and the balance amount, if any, to be paid by the member, the probable date of delivery once the company receives the balance payment, if any, etc.;
  5. Upon receipt of the outstanding payment, if any, the company will deliver the product to the specified address.

Withdrawing from BARGAIN Deal/ Cancellation
Once initiated, the member cannot withdraw from the Group Bargain deal.
  1. The member's participation in the deal is subject to the realisation of all the payments due from the member, by the company.
  2. Subject to the clause above, the member will be entitled to participate in a Group Bargain deal chosen by the member;
  3. At the initial stage the member needs to make the minimum payment, i.e., the maximum discounted price;
  4. Once the deal closes, the member may have to pay further amount towards the deal, in an event where required number of people have not participated in the member's chosen Group Bargain deal.
  5. Any delivery of the product being offered under the Group bargains will be made by the company only after the realisation of balance amount (if any) to be made by the member.
  6. The member can make the initial or additional payment for the member's Group Bargains deal by using the payment methods as listed in the principal terms (www.retailsdirect.com\termsandconditions.aspx)
  7. The Monthly EMI payment scheme does not apply to the Group Bargains deal;
  8. This Group Bargains deals can not be clubbed with any other offer or scheme running on the company’s website.
  9. The company retains the right to remove any member from the Group Bargain Scheme at any time.
  10. The company reserves the right to discontinue a Group Bargain deal at any stage in its sole discretion without assigning any reason. The member's maximum and sole remedy in such a case is limited to the return of the amount that the member might have paid under the Group Bargain deal.

Warranties/ Limitation of Liability
EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, THE COMPANY PROVIDES THE BARGAIN SERVICES, ON "AS IS" BASIS AND MAKES NO WARRANTIES, REPRESENTATIONS OR CONDITIONS, EXPRESSED OR IMPLIED, WRITTEN OR ORAL, ARISING BY STATUTE, OPERATION OF LAW OR OTHERWISE IN RELATION TO BARGAIN LISTING (GROUP BARGAIN DEAL OR DYB), BARGAIN CONCEPT, OFFERS UNDER A PARTICULAR BARGAIN DEAL, FEATURES, ETC. THE COMPANY MAKES NO WARRANTY OR REPRESENTATION THAT PARTICIPATING IN A GROUP BARGAIN DEAL WILL ENTITLE THE MEMBER TO AVAIL MAXIMUM OR ANY DISCOUNT OFFERED UNDER THE DEAL.

The company’s maximum liability if any is limited to the extent of actual payment made by the member to the company under a particular transaction/ deal.

Intellectual Property
The member acknowledges that the company is the owner of all intellectual property, including, without limitation, in relating to the bargain concept, in the punch-line, “Buy Together Gain Together™”, the presentation of the web-pages, buttons, logos, etc., (collectively “the company Content”). The member agrees not to copy, distribute, create a derivative Work, or destroy any the company Content for any commercial purpose.

Indemnity
The member agrees to indemnify and hold harmless the company, its successors, assigns and licensees, and the respective officers, directors, agents and employees, from and against any and all the company party claims, damages, liabilities, costs and expenses (including reasonable attorneys' fees), arising out of or in any way connected with Bargain Listing the Group Bargains.

Termination
The company reserves the right to terminate or withdraw the Group Bargain deals at any time without any reason or justification and without incurring any liability. The company also reserves the right to offer the member any other product of equal or higher value against the payment already received by it.
